Gemfields Announces Board Changes

Gemfields, a leading coloured gemstone company, is set to undergo significant changes to its board effective 1st July 2024. The company has conducted an extensive search resulting in the appointment of a new Chair and Non-Executive Directors

Bruce Cleaver Appointed as Chair and Independent Non-Executive Director

Bruce Cleaver, a distinguished leader renowned for his expertise in mining gemstones in Africa and international marketing, will assume the role of Chair and Independent Non-Executive Director at Gemfields starting 1st July 2024. Cleaver, formerly the Chief Executive Officer and Co-Chair of De Beers Group, brings extensive experience to the company. He will also lead the Nomination Committee.

Martin Tolcher, the outgoing Chair, expressed confidence in Cleaver's succession, acknowledging his substantial contribution to Gemfields over the years.

Simon Scott and Kieran Daly Join the Board

Simon Scott, with a rich background in mining and finance, will serve as an Independent Non-Executive Director and Chair of the Risk Council, effective 1st July 2024. His extensive experience on public company boards adds significant value to Gemfields.

Kieran Daly, currently an alternate director, will transition to a Non-Executive Director role on the board. With a background in mining across various geographies and commodities, Daly's appointment further strengthens Gemfields' leadership team.

Resignation of Martin Tolcher, Lumkile Mondi, and Carel Malan

Martin Tolcher, Lumkile Mondi, and Carel Malan, after their significant tenures, are resigning from Gemfields' Board effective 1st July 2024. Their contributions to the company are acknowledged, and they will be formally thanked at the upcoming AGM on 25th June 2024.

Board Restructuring

Kwape Mmela will transition to Lead Independent Non-Executive Director and join the Audit Committee, effective 1st July 2024.
